Terms of Service

1. Acceptance of Terms
By accessing or using AY Automate's website, products, or services, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree, please discontinue use immediately.
2. Services
We provide AI consulting, automation strategy, and implementation services tailored to each client. All scopes, deliverables, and timelines are defined in individual Statements of Work (SOW) or proposals approved by both parties.
3. Payment & Billing
Unless otherwise specified, invoices are due within 14 days. Late payments may incur a 2% monthly finance charge. We reserve the right to pause work if payment is not received.
4. Intellectual Property
AY Automate retains ownership of methodologies, frameworks, and pre-existing IP. Clients own final deliverables and bespoke assets once payment is completed in full.
5. Confidentiality
Both parties agree to protect confidential information shared during the engagement. Confidential information includes business processes, technical documentation, financial data, and any non-public materials.
6. Warranties & Disclaimers
We provide services on an "as-is" basis and do not guarantee specific outcomes unless explicitly stated. AY Automate is not liable for indirect, incidental, or consequential damages.
7. Termination
Either party may terminate the engagement with written notice. Clients are responsible for paying for all work completed up to the termination date.
8. Governing Law
These terms are governed by the laws of the United States. Any disputes will be resolved through binding arbitration unless otherwise required by law.
